Cash Distributions
One of our principal objectives is to generate cash from our operations and to distribute cash to our partners each quarter. Our partnership agreement requires us to distribute to our partners 100% of our available cash flow (also referred to as distributable cash flow) each quarter. Available cash flow is defined in our partnership agreement and generally means the amount of cash flow that is available to be distributed to partners after expenses, such as interest payments and maintenance capital expenditures, have been paid. We are required to make our cash distributions to our partners within 45 days after the end of each quarter; therefore, our distributions are typically paid mid-February, May, August and November.
Qualified Notice – This statement is intended to be a qualified notice to nominees as provided for under Treasury Regulation Section 1.1446-4(b) given by a publicly traded partnership for the nominee to be treated as a withholding agent. Please note that 100 percent of Plains All American Pipeline, L.P. distributions to foreign investors are to be attributed to income that is effectively connected with a United States trade or business. Accordingly, Plains All American Pipeline, L.P. distributions to a nominee on behalf of foreign investors are subject to federal income tax withholding at the highest effective tax rate.
